Terms of Use

Welcome to Zafronix. These Terms of Use (the “Terms”) govern your access to and use of our website at zafronix.com, the Zafronix mobile games, and our solutions and tools, including the free tiers and trial access to those solutions. By visiting the Website, downloading or installing a Zafronix application, or signing up for or using any Zafronix solution, you agree to these Terms.

What these Terms cover. Together, the Website, the Games, and the Solutions are referred to as the “Properties”:

  • Website — zafronix.com and its subdomains (e.g. games.zafronix.com, venuefuze.zafronix.com), the blog, the contact form, and the newsletter signup.
  • Games — Zafronix mobile applications distributed via the Apple App Store and the Google Play Store, including any free or paid game (each a “Game”).
  • Solutions — Zafronix products such as QORA, VenueFuze, Siono, Next-Gen Chess, and the free tier of the Zafronix APIs family, together with their associated web apps, dashboards, and documentation (each a “Solution”).

What these Terms do not cover.

  • Paid API access — if you purchase access to a paid Zafronix API product (currently the World Cup API and the other Zafronix APIs sold under a paid plan), the API Terms of Service govern that use instead of these Terms.
  • Enterprise or pilot agreements — if you and Zafronix have signed a separate written agreement for a Solution (for example, a QORA pilot order form or a VenueFuze enterprise agreement), that agreement governs that engagement and supersedes any conflicting language in these Terms for the scope it covers.
  • In-app purchases inside a Game — purchases made through the App Store or Play Store are governed primarily by the store’s own policies (with these Terms applying to the underlying license).

Where the Terms and an external document overlap, the more specific document controls for the scope it covers, and these Terms govern everything else.

1. License grant

1.1 Website. Zafronix grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Website for personal or internal business purposes, subject to these Terms. You may print or save individual pages for your own records. You may not republish substantial portions of the Website or use the Website to build a competing product.

1.2 Games. Upon download (and, for paid Games or in-app purchases, upon payment to the relevant app store), Zafronix grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Game for personal, non-commercial purposes on devices you own or control, subject to the terms of the Apple App Store or Google Play Store.

1.3 Free Solutions. For Solutions that Zafronix makes available without charge (for example, Siono’s free web app, Next-Gen Chess’s free play tier, and the free tier of the Zafronix APIs), Zafronix grants you a limited, non-exclusive, non-transferable, revocable license to use the Solution for your personal or internal business purposes, subject to these Terms, the documentation for that Solution, and any rate limits or fair-use limits posted at the Solution’s product page. Free tiers may be modified, throttled, or discontinued at any time on reasonable notice.

1.4 Paid Solutions. For Solutions provided under a paid plan (including the paid tiers of the Zafronix APIs and any enterprise Solution offered for a fee), use is governed by the API Terms of Service or by a separate written agreement, as applicable. These Terms continue to apply to your use of the Website and any free portions of the Solution.

1.5 What no license includes. Unless we say otherwise in writing, none of the licenses above include the right to: (a) sublicense the Properties to a third party; (b) modify, translate, or create derivative works of the Properties; (c) reverse engineer, decompile, or disassemble any Zafronix application or Solution, except to the limited extent applicable law expressly permits; (d) remove or alter any Zafronix proprietary notice; or (e) use any robot, scraper, or other automated means to access the Properties except as expressly permitted by published Zafronix documentation.

2. Intellectual property

All content within the Properties — including but not limited to source code, graphics, logos, trademarks, UI designs, written copy, sound effects, game mechanics, product names, branding, blog posts, documentation, and API surfaces — is the property of Zafronix or its licensors and is protected by copyright, trademark, and other intellectual property laws.

Unless these Terms or a separate written agreement says otherwise, you may not:

  • Copy, modify, or distribute any Zafronix content;
  • Reverse engineer, decompile, or disassemble any Zafronix application or Solution;
  • Create derivative works based on Zafronix content;
  • Use the names “Zafronix,” “QORA,” “VenueFuze,” “Siono,” “Next-Gen Chess,” or other Zafronix trademarks, logos, or trade dress without prior written permission, except for nominative fair use (e.g. factually identifying our products in a review or article).

If you submit feedback, suggestions, or feature requests to Zafronix through any of the Properties (the “Feedback”), Zafronix may use the Feedback for any purpose without restriction or compensation.

3. Purchases

3.1 Games and in-app purchases. All Game purchases and in-app purchases inside Games are processed through the Apple App Store or Google Play Store. Pricing, payment processing, refunds, family sharing, and chargeback handling for these transactions are governed by the respective platform’s policies. Zafronix does not directly process those financial transactions and is not the merchant of record for them.

3.2 Free Solutions. Free Solutions are offered at no charge. We may impose reasonable usage limits and reserve the right to throttle, suspend, deactivate, or delete free-tier access where usage materially and persistently exceeds posted limits, crowds out or harms other users, or violates these Terms or the Acceptable Use Policy — including in order to reserve shared capacity for other valid users. Suspension, deactivation, or deletion of paid API access for sustained usage materially exceeding a Plan’s caps is additionally governed by Section 6 of the API Terms of Service.

3.3 Paid Solutions and APIs. Pricing, billing, taxes, automatic renewal, failed payments, and refunds for paid Zafronix APIs are governed by the API Terms of Service and the Refund Policy. Enterprise pilots and orders for Solutions such as QORA or VenueFuze are governed by the separate written order form or pilot agreement signed by both parties; the Refund Policy applies where the written agreement doesn’t override it.

3.4 Taxes. Where Zafronix directly bills you (i.e. outside of an app-store transaction), prices displayed exclude applicable taxes, which are calculated at checkout based on your billing address. The total at checkout is what you pay.

4. Acceptable use

You agree not to:

  • Use the Properties for any unlawful purpose, or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to our systems, accounts, infrastructure, or data, or to bypass any security or access-control mechanism;
  • Interfere with the proper functioning of the Properties, including by introducing malware, mounting denial-of-service attacks, or exploiting bugs to obtain access or resources you weren’t granted;
  • Use automated tools (bots, scrapers, headless browsers) to interact with the Website or Solutions except as expressly permitted by published Zafronix documentation;
  • Use the Properties to generate, host, transmit, or distribute content that is illegal, harassing, defamatory, infringing, malicious, or otherwise prohibited by the Acceptable Use Policy;
  • Impersonate Zafronix or imply endorsement, sponsorship, or partnership where none exists.

Your use of the paid Zafronix APIs is additionally governed by the Acceptable Use Policy, which is incorporated by reference. Where the AUP and these Terms overlap, the AUP controls for API use.

5. Disclaimer of warranties

The Properties are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, and absence of errors. Zafronix does not warrant that any Game or Solution will be error-free, uninterrupted, secure, or free of harmful components, or that any data exposed through the Properties is current or correct.

Your use of the Properties is at your sole risk. Some jurisdictions do not allow the exclusion of implied warranties; in those jurisdictions, the foregoing exclusions apply to the maximum extent permitted.

This Section does not modify any warranty rights you may have under the policies of an app store, payment processor, or other intermediary, or under mandatory consumer-protection law in your country of residence.

6. Limitation of liability

To the maximum extent permitted by applicable law, Zafronix shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, loss of data, or business interruption, arising from your use of the Properties, even if Zafronix has been advised of the possibility of such damages. This limitation applies regardless of whether the liability is based on contract, tort, negligence, strict liability, or any other legal theory.

Zafronix’s total cumulative liability arising out of or relating to these Terms or the Properties, for any cause of action and under any theory of liability, shall not exceed the greater of (a) one hundred US dollars ($100) or (b) the aggregate amounts actually paid by you to Zafronix (or, for Games, to the app store on Zafronix’s behalf) for the specific Property giving rise to the claim in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted.

7. Updates and changes

We may update the Properties from time to time to fix bugs, add or remove features, improve performance, or respond to security issues. Zafronix may also discontinue specific Games, Solutions, free tiers, or Website sections on reasonable notice; for paid Solutions, the more specific notice requirements in the API Terms of Service or a written agreement apply.

We may also update these Terms. Non-material updates (clarifications, fixes, scope additions for new free Solutions) take effect when posted. Material changes take effect when the updated Terms are posted to the Website. Your continued use of the Properties after the effective date of a change constitutes acceptance.

8. Termination

You may stop using the Properties at any time. For Games, you can uninstall the application; for Solutions where you have an account, you can request account deletion via the data erasure form.

Zafronix may suspend or terminate your access to any or all of the Properties at any time, with or without notice, if we reasonably believe that your conduct violates these Terms, the Acceptable Use Policy, or applicable law, or is otherwise harmful to other users, to Zafronix, or to third parties. Where the violation is curable and is not urgent (security, abuse, legal compulsion), we’ll usually contact you before suspending.

The provisions that by their nature should survive termination — including Sections 2 (Intellectual Property), 5 (Disclaimer), 6 (Limitation of Liability), 9 (Governing Law), and any accrued payment obligations — survive termination.

9. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these Terms or the Properties that cannot be resolved through good-faith negotiation will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to personal jurisdiction in those courts. You and Zafronix each waive the right to a jury trial to the maximum extent permitted by law.

If you are a consumer (an individual using the Properties for personal, non-commercial purposes), this Section does not deprive you of the protections of mandatory consumer-protection law in your country of residence. Where local law gives you more, local law applies.

10. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy, the Acceptable Use Policy, and (for paid Solutions) the API Terms of Service, the Refund Policy, and any signed order form or written agreement, constitute the entire agreement between you and Zafronix regarding the Properties.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without Zafronix’s prior written consent. Zafronix may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
  • Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, war, pandemic, government action, internet backbone outages, upstream provider failures).
  • Headings. Section headings are for convenience only and do not affect interpretation.
