API Terms of Service

These API Terms of Service (the “API Terms”) govern your access to and use of paid Zafronix application programming interfaces, currently the Zafronix World Cup API (“wc-api”), together with any successor or related API products (the “Service”). By purchasing access, generating an API key, or making a request to the Service, you (“Customer”) agree to be bound by these API Terms.

For the Zafronix games and the zafronix.com website, the standard Terms & Conditions apply instead. Where there’s overlap, these API Terms govern paid API access; the standard Terms govern everything else.

1. Definitions

  • Zafronix — Zafronix LLC, a Wyoming-registered limited liability company, the provider of the Service.
  • Customer — the individual or legal entity that purchases or uses the Service. If you’re purchasing on behalf of an organization, you represent that you have authority to bind that organization, and “Customer” means the organization.
  • Service — the wc-api and any other paid Zafronix API listed at the time of purchase, including endpoints, documentation, and the customer dashboard.
  • API Key — the credential issued to Customer for authenticating requests against the Service.
  • Plan — the pricing tier selected at checkout (rate limits, included features, billing cadence).
  • Output — the data returned by the Service in response to Customer’s authenticated requests.
  • AUP — the Acceptable Use Policy, incorporated by reference.

2. License grant and permitted use

Subject to Customer’s compliance with these API Terms, the AUP, and timely payment, Zafronix grants Customer a non-exclusive, non-transferable, revocable, worldwide license to:

  • Make authenticated requests to the Service within the rate limits of the active Plan;
  • Use the Output internally and in Customer-facing applications, including commercial applications;
  • Display Output to Customer’s end users, with attribution as described below.

Attribution. Customer must include a visible attribution “Powered by Zafronix WC API” with a link to zafronix.com in any application or page that displays Output to end users, unless Customer is on a Plan that explicitly waives this requirement (currently: the Enterprise tier, when designated in writing). For backend-only use (data processed but not shown to end users), no attribution is required.

What this license does not include. Customer may not: redistribute Output as a bulk dataset; resell or sublicense access to the Service; build a service whose primary value is exposing Zafronix data through a different API surface; or train machine-learning models on Output for the purpose of replicating the Service. Use of Output as one input among many in a model that does something materially different is permitted.

3. Acceptable use

Customer’s use of the Service is governed by the Acceptable Use Policy. The AUP can change without amending these API Terms; the current version always applies. Material changes to the AUP will be announced at least 30 days in advance.

4. Pricing and billing

  • Pricing for each Plan is published at the wc-api product page at time of purchase. Customer is charged at the price displayed at checkout for the duration of the current billing period.
  • Currency is US dollars (USD) unless a local currency is offered at checkout.
  • Taxes. Prices displayed exclude applicable taxes (sales tax, VAT, GST, etc.) which are calculated at checkout based on Customer’s billing address using Stripe Tax. The total at checkout is what Customer pays.
  • Subscription Plans renew automatically at the end of each billing period unless cancelled. Renewal price is the then-current published price for the Plan.
  • Failed payments. If Customer’s payment method fails, Stripe retries on a standard schedule. After repeated failure (typically 21 days), the API Key is suspended. Customer can restore access by updating payment method and clearing the outstanding balance.
  • Refunds. Governed by the Refund Policy.
  • Price changes. Zafronix may change Plan prices with at least 30 days’ advance notice via email. Customer can cancel before the new price takes effect; otherwise the new price applies at the next renewal.

5. Service availability

The Service is provided on a best-effort, no-SLA basis. Zafronix aims for high availability and publishes incident notices at status.zafronix.com, but does not contractually commit to specific uptime numbers. See the service-level page for what we do commit to (security patches, breaking-change notice, support response windows). Plans designated as “Enterprise” in writing may be offered a contractual SLA in a separate agreement; absent such an agreement, this best-effort standard applies.

Where the Refund Policy provides for pro-rata credits in cases of extended unavailability, those remedies are Customer’s sole financial remedies for unavailability.

6. Suspension and termination

Suspension by Zafronix. We may suspend Customer’s API Key, with or without prior notice, if:

  • Customer’s payment is overdue beyond the standard retry window;
  • Customer’s usage materially violates the AUP;
  • Customer’s usage poses a security or stability risk to the Service or to other customers;
  • We’re required to suspend by law, court order, or upstream-provider mandate.

For non-urgent issues we’ll attempt to contact Customer at the billing email before suspending. For security or abuse issues we may suspend immediately and notify after.

Termination by Customer. Customer may cancel a subscription at any time per the Refund Policy. Cancellation takes effect at the end of the current billing period; access during that period continues unless Zafronix terminates for cause.

Termination by Zafronix for cause. We may terminate Customer’s account, with refund of any unused pre-paid period, for material AUP violations (after notice and opportunity to cure where the violation is curable), fraud, chargebacks, or repeated security incidents originating from Customer’s use.

Effect of termination. The license in Section 2 ends; Customer must stop making requests; the API Key is revoked. Customer’s data is handled per the Privacy Policy retention schedule.

7. Data and accuracy

Zafronix curates the data exposed through the Service from public sources, licensed providers, and our own production. We work to keep it accurate and up to date, but the Service is provided “as is” and “as available” without warranty that Output is error-free, complete, or fit for any particular purpose. Customer is responsible for verifying Output before using it in applications where errors would cause material harm (financial, medical, legal, etc.).

Zafronix does not warrant continued availability of any specific endpoint, field, or data point. Endpoints may be deprecated with at least 30 days’ notice. Material breaking changes follow the same notice period.

8. Customer data and privacy

Zafronix’s handling of Customer-related personal data (email, hashed API key, request logs, billing data) is described in the Privacy Policy. The data Customer transmits in API requests (query parameters) is logged for 30 days for billing, support, and abuse-detection purposes; logs are not used for any other purpose.

If Customer’s use of the Service involves processing personal data of Customer’s own end users, Customer is the data controller and Zafronix acts as a processor only to the extent of incidentally logged request metadata. Customer is responsible for any disclosures to its end users that are required by applicable law.

9. Intellectual property

Zafronix and its licensors retain all right, title, and interest in the Service, the underlying data sources, the documentation, and all related intellectual property. Customer retains all right, title, and interest in its own applications, data, and content. Output is licensed to Customer under Section 2 above and is not assigned.

If Customer provides feedback, suggestions, or feature requests (“Feedback”), Zafronix may use the Feedback for any purpose without restriction or compensation.

10. Indemnification

Customer agrees to indemnify, defend, and hold harmless Zafronix and its affiliates, officers, and employees from any third-party claim, demand, loss, liability, or expense (including reasonable attorneys’ fees) arising out of: (a) Customer’s use of the Service in breach of these API Terms or the AUP; (b) Customer’s applications or services that incorporate Output; (c) Customer’s violation of any law or third-party right. Zafronix will provide prompt notice of any such claim and reasonably cooperate with Customer’s defense.

11. Disclaimer of warranties

EXCEPT AS EXPLICITLY STATED IN THESE API TERMS, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, AND ABSENCE OF ERRORS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES; IN THOSE JURISDICTIONS, THE FOREGOING EXCLUSIONS APPLY TO THE MAXIMUM EXTENT PERMITTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAFRONIX’S TOTAL CUMULATIVE LIABILITY TO CUSTOMER ARISING OUT OF OR RELATING TO THESE API TERMS OR THE SERVICE, FOR ANY CAUSE OF ACTION AND UNDER ANY THEORY OF LIABILITY, SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AGGREGATE FEES ACTUALLY PAID BY CUSTOMER TO ZAFRONIX FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL ZAFRONIX BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ZAFRONIX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION APPLIES REGARDLESS OF WHETHER THE LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.

Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions, the foregoing limitations apply to the maximum extent permitted.

13. Governing law and dispute resolution

These API Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to these API Terms or the Service that cannot be resolved through good-faith negotiation will be resolved exclusively in the state or federal courts located in Wyoming, and Customer consents to personal jurisdiction in those courts. Customer and Zafronix each waive the right to a jury trial to the maximum extent permitted by law.

If Customer is a consumer (an individual purchasing for personal, non-commercial use), this section does not deprive Customer of the protections of mandatory consumer-protection law in Customer’s country of residence. Where local law gives Customer more, local law applies.

14. Modifications

Zafronix may modify these API Terms from time to time. Material changes will be announced by email to active Customers at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If Customer does not accept a material change, Customer’s sole remedy is to cancel before the change takes effect; pro-rata refunds for the remainder of the current billing period are available on request in that case.

15. Miscellaneous

  • Entire agreement. These API Terms, together with the AUP, the Refund Policy, the Privacy Policy, and any order form or written agreement signed by both parties, constitute the entire agreement between Customer and Zafronix regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • No waiver. Failure to enforce any provision is not a waiver of the right to enforce it later.
  • Assignment. Customer may not assign these API Terms without Zafronix’s prior written consent. Zafronix may assign these API Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
  • Force majeure. Neither party is liable for failure to perform due to causes beyond reasonable control (natural disasters, war, pandemic, government action, internet backbone outages, upstream provider failures).
  • Independent contractors. The parties are independent contractors. Nothing in these API Terms creates an employment, agency, partnership, or franchise relationship.
  • Notices to Customer are sent to the email address on the account. Notices to Zafronix should be sent to legal@zafronix.com.
